1. Acceptance of Terms

By registering an account, accessing, or using any Higgs 10T service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

2.1 Velocity Platform

Higgs 10T provides cloud-based fleet management software under the Velocity brand, including:

• Velocity Lite: Entry-level real-time tracking and basic reporting
• Velocity Flux: Advanced fleet intelligence, driver analytics, and multi-asset management
• Velocity Nova: Enterprise-grade operations with advanced integrations
• Velocity Supernova: Full-scale enterprise deployment with dedicated support

2.2 Service Availability

We aim to maintain a service uptime of 99.5% per calendar month, excluding scheduled maintenance windows. We will provide advance notice of planned downtime where reasonably possible. We do not guarantee uninterrupted or error-free access and are not liable for any temporary unavailability.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time. For material changes to paid plans, we will provide at least 30 days' advance notice.

3. Account Registration & Security

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. Our services are intended for business use and are not directed at consumers.

3.2 Account Accuracy

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the accuracy of your account information
• Providing false or misleading information may result in immediate account termination

3.3 Account Security

• You are solely responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorised access to your account
• We are not liable for any loss arising from unauthorised use of your account
• Do not share your credentials or allow others to access your account

3.4 One Account Per Entity

Each business entity may maintain only one primary account unless explicitly permitted by us in writing. Sub-accounts and user seats are managed through your primary account dashboard.

4. License & Usage Rights

4.1 Grant of License

Subject to your compliance with these Terms and timely payment of applicable fees, Higgs 10T grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Velocity platform solely for your internal business operations during the subscription term.

4.2 Intellectual Property

All intellectual property rights in the platform, software, documentation, and related materials remain the exclusive property of Higgs 10T or its licensors. Nothing in these Terms transfers any ownership rights to you.

4.3 Restrictions

You may not, without our prior written consent:

• Copy, modify, or create derivative works of the platform or its components
• Reverse engineer, decompile, or disassemble any part of the platform
• Sublicense, resell, or otherwise transfer access to the platform to third parties
• Remove or obscure any proprietary notices or branding
• Use the platform to build a competing product or service

5. Prohibited Activities

When using our services, you must not:

• Violate any applicable law, regulation, or third-party rights
• Transmit unlawful, harmful, fraudulent, or misleading content
• Attempt to gain unauthorised access to any system, network, or account
• Introduce viruses, malware, or other malicious code
• Conduct automated scraping, crawling, or data harvesting beyond permitted API usage
• Interfere with or disrupt the integrity or performance of our services
• Use the platform to track individuals without their knowledge or consent, where prohibited by law
• Circumvent any security, authentication, or access-control mechanism

We reserve the right to suspend or terminate access immediately for any violation of this section.

6. Data Ownership & Processing

6.1 Your Data

You retain full ownership of all fleet data, vehicle data, and other content you upload or generate through the platform ("Customer Data"). We claim no ownership rights over your Customer Data.

6.2 Licence to Process

By using our services, you grant Higgs 10T a limited licence to access, process, and store your Customer Data solely for the purpose of providing and improving the services described in these Terms.

6.3 Data Portability

You may export your Customer Data at any time through the platform dashboard. Upon termination of your account, we will make your data available for export for a period of 30 days, after which it may be permanently deleted.

6.4 Aggregated Data

We may use anonymised and aggregated data derived from your use of the platform for product improvement, benchmarking, and analytics purposes. Such data will not identify you or your organisation.

7. Payment & Billing

7.1 Subscription Fees

Fees are charged based on the plan you select and any additional usage or hardware ordered. All fees are stated in Indian Rupees (INR) unless otherwise agreed, and are exclusive of applicable taxes.

7.2 Billing Cycle

• Subscriptions are billed monthly or annually, as selected at the time of purchase
• Annual subscriptions are non-refundable except as required by law or as stated in our refund policy
• Fees are due in advance at the start of each billing period

7.3 Late Payment

Unpaid invoices past their due date may result in service suspension. We will provide at least 7 days' written notice before suspending access for non-payment. Accounts suspended for non-payment for more than 60 days may be permanently terminated.

7.4 Price Changes

We reserve the right to change our pricing with 30 days' advance notice. Continued use of the service after the notice period constitutes acceptance of the new pricing.

7.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Higgs 10T will include applicable GST on invoices where required by Indian law.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for unused portions of a billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Materially breach these Terms and fail to remedy the breach within 14 days of notice
• Engage in any prohibited activity outlined in Section 5
• Fail to pay undisputed invoices within 60 days of the due date
• Become insolvent or subject to insolvency proceedings

8.3 Effect of Termination

Upon termination, your licence to use the platform is revoked, and you must cease all use immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

9. Disclaimers & Warranties

9.1 "As Is" Basis

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 GPS & Tracking Accuracy

GPS and location data provided through the platform is for informational purposes only. Accuracy may vary due to device quality, environmental conditions, and network factors. Higgs 10T does not warrant the accuracy, completeness, or timeliness of any location data.

9.3 Third-Party Services

Our platform may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or content of those third-party services, and their use is governed by their own terms.

10. Limitation of Liability

10.1 Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, Higgs 10T shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, loss of data, or business interruption — arising from your use of or inability to use our services, regardless of the theory of liability.

10.2 Cap on Liability

Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Higgs 10T in the 12 months immediately preceding the event giving rise to the claim.

10.3 Essential Basis

The limitations above reflect an allocation of risk between the parties and form an essential basis of the bargain. They shall apply notwithstanding any failure of essential purpose of any limited remedy.

11. Indemnification

You agree to defend, indemnify, and hold harmless Higgs 10T, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the services in violation of these Terms
• Your violation of any third-party rights, including privacy rights
• Your Customer Data infringing any intellectual property or other rights
• Any misrepresentation made by you in connection with the services

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Notify registered users by email at least 14 days before the changes take effect
• Post an updated version on our website with a revised "Last Updated" date
• Require re-acceptance for changes that materially affect your rights

Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the services and cancel your subscription before the effective date.

13. Governing Law & Disputes

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be referred to mediation. If mediation fails to resolve the dispute within 30 days, the parties agree to submit to the exclusive jurisdiction of the competent courts located in India.

13.3 Class Action Waiver

Any proceedings to resolve or litigate any dispute must be conducted solely on an individual basis. You waive any right to bring or participate in a class action, collective action, or representative proceeding.
